These Terms and Conditions constitute a legally binding agreement between you and Zipr ("we," "us," or "our") concerning your access to and use of the Zipr mobile application and website at https://zipr.fun (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and Conditions.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms and Conditions. If you are under 18, you are not permitted to use the Service.

Certain features of the Service, including wagering and competitive gameplay, may have additional age requirements based on your jurisdiction. You are responsible for ensuring you meet all applicable age requirements.

3. Account Registration

To use certain features of the Service, you must register for an account. • Attempt to gain unauthorized access to the Service or other users' accounts
• Use automated systems or software to extract data from the Service
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Create multiple accounts or use the Service for commercial purposes without authorization

5. ZIPR Credits and Transactions

The Service includes a virtual credit system called ZIPR. ZIPR credits can be earned through gameplay and used for various features within the Service. ZIPR credits may be converted to cryptocurrency tokens in the future.

All transactions involving ZIPR credits are final and non-refundable unless otherwise required by law. We reserve the right to modify the ZIPR credit system, including earning rates and redemption options, at any time.

You acknowledge that ZIPR credits have no monetary value outside the Service and cannot be exchanged for cash or other goods or services except as specifically provided within the Service.

6. Wagering and Competitive Gameplay

The Service may include features that allow you to wager ZIPR credits on puzzle competitions against other users. By participating in wagering, you acknowledge and agree that:

• All wagers are made at your own risk
• Outcomes are determined by skill-based gameplay
• We may charge a platform fee on wagered amounts
• You are responsible for complying with all applicable gambling laws in your jurisdiction
• You meet the minimum age requirement for gambling in your jurisdiction

We reserve the right to suspend or terminate your access to wagering features if we suspect fraud, cheating, or violation of these Terms and Conditions.

7. User Content

You may submit content to the Service, including profile information, photos, messages, and other materials ("User Content"). You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content in connection with operating and providing the Service.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that your User Content does not violate any third-party rights or applicable laws.

We reserve the right to remove any User Content that violates these Terms and Conditions or that we deem inappropriate, offensive, or harmful.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.

10. Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any third-party websites or services.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. We do not warrant the accuracy, completeness, or reliability of any content available through the Service.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZIPR, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Zipr and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms and Conditions.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms and Conditions. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or using the account deletion feature in the Service. Upon termination, your User Content may be deleted, and any unused ZIPR credits will be forfeited.

15. Dispute Resolution

Any dispute arising out of or relating to these Terms and Conditions or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and judgment on the arbitration award may be entered in any court having jurisdiction.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

16. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

17. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify you of any changes by posting the new Terms and Conditions on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms and Conditions.

18. Severability

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

19. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Zipr regarding the Service and supersede all prior agreements and understandings.
